terms-title

1. Parties; scope; acceptance

1.1 These Terms and Conditions (the “Terms”) govern your access to and use of the Credence Data portal at www.credencedata.com (“Portal” or “the portal”) and associated company profile pages, downloadable sample materials, and the purchase and delivery of business information reports, credits and related services (together, the “Services”).

1.2 The Services are operated by Interlinkages Limited, a company incorporated in Hong Kong (“Credence”, “we”, “us”, “our”) with registered address 9F, Amtel Building, 148 Des Voeux Road Central, Hong Kong.

1.3 By accessing the portal, downloading any content, creating an account, submitting an email to unlock a download, or purchasing any report, you confirm that you have read, understood and agree to be bound by these Terms, which form a legally binding agreement between you and us.

2. Definitions

2.1 Core Data Pack means a digital product consisting primarily of automated retrieval and compilation of baseline company information (which may include, depending on the jurisdiction and source availability, identifiers, registration status, registered office address, filing/status extracts, basic corporate structure indicators, and similar core fields), and which may exclude analyst commentary, interpretive narratives, scoring, credit limits, recommended trade terms, or other value-added assessments.

2.2 Standard Report means a digital report product generated primarily through automated retrieval and compilation from connected sources, containing standardised company information that may be more detailed than a Core Data Pack, and may include scoring, credit limits, recommended trade terms, and/or other analytical components as stated as included at the point of purchase.

2.3 Comprehensive Report means an analyst-researched report that includes manual verification, analyst commentary and/or additional research steps and is delivered within the estimated delivery timeline displayed at purchase (typically longer than Instant/Standard), and may include enhanced sections such as risk commentary, scoring, credit limits, recommended trade terms, and/or evidence packs where stated as included.

2.4 Instant Report means a report intended to be delivered digitally immediately or near-immediately after successful payment or credit deduction, generated primarily through automated retrieval from connected sources, subject to Section 9.3 (Instant Reports—availability and delays).

2.5 Fresh Report means an analyst-researched report that includes most updated data, manual verification, analyst commentary and/or additional research steps and is delivered within the estimated delivery timeline displayed at purchase (typically longer than Instant/Standard), and may include enhanced sections such as risk commentary, scoring, credit limits, recommended trade terms, and/or evidence packs where stated as included.

2.6 Report Type means any of the foregoing: Core Data Pack, Standard Report, Comprehensive Report, Instant Report, or Fresh Report or any other product type as modified from time to time and explained on the portal.

2.7 Subject Company means the company that is the primary subject of a report or profile.

2.8 Subject-Ordered Report means a report ordered and paid for by the Subject Company (or an authorised representative acting on its behalf).

2.9 Subject-Provided Information means information, documents, statements or materials supplied directly by the Subject Company, including private or non-public information

2.10 Publication Consent means a separate written consent/authorisation provided by the Subject Company permitting Credence to publish specified Subject-Provided Information on a profile page or other publication channel.

2.11 Consumer means a natural person who is acting for purposes wholly or mainly outside that person’s trade, business, craft or profession.

2.12 Business Customer means any purchaser who is not a Consumer.

2.13 Permitted Purpose has the meaning given in Section 5.4.1.

3. Eligibility; authority; accounts

3.1 You must be at least eighteen (18) years old and have legal capacity to contract. If you use the Services or place an order on behalf of a legal entity, you represent and warrant that you have authority to bind that entity.

3.2 You are responsible for maintaining the confidentiality of any account credentials and for all activity conducted through your account.

4. Nature of the Services; sources; no registry status; no reliance

4.1 Company profile pages and reports may incorporate information obtained from official public records, licensed data providers, and other sources believed to be reliable.

4.2 Credence is not a government registry and does not warrant that any profile page, report or data point is complete, current, or error-free at the time you view or purchase it.

4.3 The Services are provided for informational purposes to support due diligence, compliance and risk assessment workflows. You remain solely responsible for your decisions, verification steps, and the manner in which you use any information obtained from the Services.

4.4. Report Types; deliverables; coverage and limitations

4.4.1 The Report Type selected at purchase governs the scope of content, level of verification, and delivery approach. You acknowledge that different Report Types contain different fields and sections, and that certain analytical components (including without limitation scoring, credit limits, recommended trade terms, and interpretive commentary) may be included only in Report Types expressly described as including them at the point of purchase.

4.4.2 Core Data Packs, Standard Report and Instant Reports are primarily automated products and may be limited to information available through connected sources for the relevant jurisdiction. Unless expressly stated otherwise at the point of purchase, Core Data Packs, Instant Reports or Standard Reports may be provided without analyst commentary, or manual verification.

4.4.3 Fresh Reports & Comprehensive Report include manual and/or analyst work, which may include verification of identifiers, reconciliation of inconsistent records, review of filings, and supplemental research. Because these reports involve allocation of analyst resources and may incur third-party costs upon initiation, these are priced differently and delivered on the timelines displayed at purchase.

4.4.4 Jurisdiction and source dependency. Report content and availability depend on jurisdiction-specific data sources (including official registries and third-party providers) and may vary materially between countries. Certain fields, sections, or verification steps may not be available for all jurisdictions, entity types, or company sizes.

4.4.5 No implied inclusion. The presence of a heading, template section, or general description on the portal does not constitute a promise that any particular data field or analytical component will be available for a specific company or jurisdiction, unless expressly stated as included in the purchased Report Type.

4.4.6 Best efforts; transparency. Where a requested section or field is unavailable due to source limitations, legal restrictions, or technical constraints, Credence may (at its discretion) omit the unavailable element, substitute an equivalent source-backed field, or provide an “unavailable/not found/ not disclosed/ Not available” notation, and will use reasonable efforts to ensure the delivered output remains internally consistent and appropriately sourced.

4.5. Country coverage; data availability; sample reports

4.5.1 Country coverage does not imply uniform depth. Credence provides Services relating to entities across two hundred (200)+ jurisdictions. You acknowledge that the availability, depth, and freshness of company information varies significantly by country, entity type, and source, and may be affected by local registry practices, legal restrictions, digitisation levels, and third-party data provider coverage.

4.5.2 No guarantee of specific fields or sections across jurisdictions: Except where expressly stated Credence does not guarantee that any specific data field, section, document, analytical component, or attribute (including without limitation shareholding, directors, charges, financials, litigation, adverse media indicators, scoring, credit limits, or recommended trade terms) will be available for a particular country or company.

4.5.3 Sample reports are illustrative: Any sample report, preview, or demonstration material made available on the portal is provided solely for illustration of formatting and potential content and does not constitute a representation, warranty, or promise that the same content, depth, or fields will be available for other jurisdictions (including jurisdictions with limited public data availability). For the avoidance of doubt, the sample report may reflect a jurisdiction with deeper public records to demonstrate the maximum scope of information available in reports.

4.5.4 Unavailability is not a defect: The absence of certain fields, sections, or documents in a delivered report shall not constitute non-delivery or a defect where such information is not available through lawful and commercially reasonable sources for the relevant jurisdiction or where provision would be restricted by law, regulation, or source terms.

4.5.5 Customer selection and expectations: You are responsible for selecting the appropriate Report Type in view of jurisdictional availability. Where the portal indicates that certain elements are unavailable or limited for a jurisdiction, you agree that the delivered output will reflect those limitations.

4.5.6 Transparency and alternative options: Where Credence reasonably determines that the requested deliverable cannot be provided for a jurisdiction due to source limitations or any company specific restrictions placed by the jurisdiction, Credence may (at its discretion) (a) provide the report with unavailable sections marked accordingly, (b) propose an alternative deliverable or Report Type (including a Fresh Report where feasible), or (c) propose another remedy consistent with Section 9.3 (Instant availability) and Section 11 (Refunds), subject always to mandatory law.

4.6. Subject-Ordered Reports; analytical independence; Subject-Provided Information

4.6.1 Where a report is ordered and paid for by the Subject Company, the Subject Company acknowledges and agrees that Credence maintains editorial and analytical independence. Payment of fees by the Subject Company does not influence and shall not be deemed to influence Credence’s assessment, scoring, or conclusions.

4.6.2 Scores and assessments are produced using Credence’s proprietary methodologies applied consistently across customers and jurisdictions, subject to data availability and verification constraints. The Subject Company acknowledges that outcomes may change over time and Credence is not obliged to adjust any score or narrative to reflect the Subject Company’s preferences.

4.6.3 Subject-Provided Information is treated as an evidentiary input only and does not bind Credence. Credence may request supporting documents, apply verification steps, cross-check against public/third-party sources, and may exclude or qualify information where Credence cannot reasonably verify it.

4.6.4 Publication of Subject-Provided Information on a public or semi-public profile page requires Publication Consent. Credence may label such published content as “Provided by the Subject Company” and may describe verification status (including “unverified” where applicable).

4.6.5 Credence may refuse to publish, may qualify, or may remove Subject-Provided Information where Credence reasonably believes the information is inaccurate, misleading, unverifiable, disputed, unlawful to publish, or would create undue legal risk.

4.6.6 The Subject Company represents and warrants that it has all necessary rights and authorisations to provide Subject-Provided Information, that such information is, to the best of its knowledge, true, accurate and not misleading, and that provision and (where applicable) publication does not infringe third-party rights or breach confidentiality obligations.

5. Acceptable use

5.1. You shall not (and shall not permit any third party to):

5.1.1 Scrape, harvest, index, bulk-download, or systematically extract data from the portal;

5.1.2 Bypass or attempt to bypass access controls, rate limits, authentication steps, or security measures;

5.1.3 Use the Services for unlawful profiling, harassment, discrimination, or any unlawful purpose;

5.1.4 Upload malicious code or attempt to disrupt the Services;

5.1.5 misrepresent your identity or authority to purchase; or

5.1.6 use the Services in breach of applicable law.

5.2 You shall not use any robot, spider, scraper, crawler, automated system, software, or manual process to access, monitor, copy, extract, index, or retrieve any portion of the Services for any purpose, including for training datasets, bulk exports, or competitive intelligence, except where Credence has provided prior written authorisation (for example, via a licensed API agreement). Any attempt to circumvent rate limits, access controls, paywalls, or gating mechanisms is prohibited

5.3 You shall not use the Services or any content obtained from the Services (including extracts, screenshots, summaries, or substantially similar re-presentations) to create, train, populate, validate, refresh, or enhance any database, directory, model, dataset, product, or service that is competitive with the Services, including any reproduction or recreation of company profile pages or report sections (whether identical or substantially similar in structure, arrangement, or content). This prohibition applies whether the reproduction is direct, indirect, by manual re-entry, or by automated means.

5.4. Permitted purposes; marketing prohibition; legitimate interests acknowledgement

5.4.1 You shall access and use the Services and any profile pages and reports solely for legitimate and lawful purposes connected with due diligence, compliance, fraud prevention, risk assessment, credit evaluation, supplier/customer onboarding, counterparty verification, internal audit, legal claims assessment, dispute prevention, sanctions/AML screening support, or similar business decisioning activities (each a “Permitted Purpose”).

5.4.2 Without our prior written consent, you shall not use (and shall not permit any third party to use) the Services or any output from the Services, including any personal data contained therein, for direct marketing, advertising targeting, list-building, lead generation campaigns, enrichment of marketing databases, or unsolicited marketing communications, whether by email, telephone, messaging, social media, or otherwise.

5.4.3 You acknowledge and agree that Credence processes certain personal data contained in profile pages and reports, where applicable law recognises such basis, in reliance on its legitimate interests in operating a business intelligence and due diligence service, preventing fraud, protecting the security of the Services, maintaining audit trails, complying with legal and regulatory expectations, and supporting responsible cross-border commerce. You further acknowledge that your use of the Services for Permitted Purposes is consistent with those legitimate interests and is reasonably expected in a due diligence context.

5.4.4 You are solely responsible for ensuring that your use of the Services (including any further processing, sharing, or disclosure of personal data) complies with applicable data protection, consumer, and financial crime laws. Where you act as a controller or equivalent, you must maintain appropriate lawful basis, policies, notices, and records required by law.

5.4.5 Any breach of this Section 5.4 constitutes a material breach entitling Credence to suspend or terminate access immediately, without prejudice to any other rights or remedies.

6. Downloads (including “sample report” downloads)

6.1 Where we require an email address to unlock a download, you agree to provide an email address you control or are authorised to use.

6.2 Unless expressly stated otherwise at the point of collection, the email is used to enable the download, support abuse prevention and security, and maintain audit logs.

7. Orders; delivery email; contract formation

7.1 Orders; delivery email; contract formation

7.2 You must provide a valid delivery email address at checkout. Delivery is made to the email you provide and/or made available for download within the portal, as applicable.

7.3 A purchase contract is formed only when payment is successfully processed (or credits successfully deducted) and we confirm the order on-screen and/or by email.

7.4. Customer-provided details; incorrect details; duplicate orders

7.4.1 You are responsible for ensuring that all information you submit in connection with an order (including, without limitation, the company name, jurisdiction, identifiers, and address details used to initiate a report request) is accurate and sufficient for the intended report.

7.4.2 Where an order is initiated, automated data pulls and third-party queries may be executed immediately upon order placement or shortly thereafter, and Credence may incur external costs and resource allocation as a result.

7.4.3 If you submit incorrect or incomplete details (including an incorrect address or the wrong entity) and subsequently place a further order for the same intended counterparty using corrected details, the subsequent order shall be treated as a separate order and fees for both orders shall be payable.

7.4.4 Without limiting Section 11 (Refunds; Consumer rights), Credence may, in its sole discretion and on a case-by-case basis, provide a credit or partial refund for a duplicate or incorrectly-initiated order where (i) you notify us promptly after purchase, (ii) delivery has not occurred or work has not materially progressed, and (iii) we are able to verify that the relevant third-party costs can be avoided, reversed, or are not incurred.

7.4.5 Nothing in this Section 7.4 excludes or limits mandatory rights that cannot be excluded under applicable consumer protection laws.

7.5. Product availability and substitutions

7.5.1 Not all Report Types are available for all countries, entity types, or companies. Where “Instant” or “ Core Data pack” are not available for a jurisdiction, the portal may offer only a Standard Report, Comprehensive Report and/or a Fresh Report.

7.5.2 If a particular Report Type is not available for a given country, Credence is not obliged to provide additional deliverables (including scoring, credit limits or recommended trade terms) unless you purchase a Report Type that expressly includes such deliverables.

7.5.3 Where you have selected an Instant Report but Credence reasonably determines that instant delivery is not feasible due to source unavailability or manual verification requirements, Credence may offer to (a) continue processing with a revised ETA, (b) convert the order to a Fresh Report, or (c) provide another remedy as set out in Section 9.3. Any conversion that changes price shall be disclosed to you prior to conversion and shall require your confirmation, unless the conversion does not increase price and does not reduce deliverables.

7.5.4 Where an order is converted from one Report Type to another due to availability constraints, it shall be treated as a continuation of the original order and not as a separate repurchase.

8. Pricing; payment processing

8.1 Prices are displayed before purchase and are final

8.2 Payment is processed by third-party providers. We do not store full payment card details; payment providers may provide us limited metadata confirming payment status.

8.3 You agree to comply with the payment provider’s terms in addition to these Terms.

9. Delivery; performance; estimated timelines

9.1 Delivery timelines displayed in the portal are estimates. We may request clarifications to complete an order (for example, to confirm the correct entity).

9.2 Delivery is deemed complete when the report is sent to the delivery email and/or made available within the portal for download for orders placed after registration

9.3. Instant Reports — availability; delays; notification; remedies

9.3.1 “Instant Report” describes our intended delivery method and target turnaround time based on automated data retrieval from connected sources. Unless expressly stated otherwise, “instant” is a service description and not a guarantee of uninterrupted real-time availability or a fixed delivery time in all circumstances.

9.3.2 You acknowledge that Instant Reports may depend on access to third-party and/or official sources (including company registries, government portals, data providers, and APIs) which may sometimes be unavailable, degraded, delayed, subject to maintenance windows, rate limits, legal or technical restrictions, or otherwise unable to return data required to generate the report instantly.

9.3.3 In addition, Instant Report delivery may be delayed where Credence reasonably determines that manual verification is required, including where (a) the entity match is ambiguous, (b) essential identifiers or address components cannot be verified automatically, (c) the source data returns incomplete or inconsistent results, or (d) additional customer clarification is necessary to proceed.

9.3.4 Where an Instant Report is delayed, Credence may offer one or more of the following (as applicable): (a) conversion of the order to a Fresh Report (with an updated delivery time and any applicable price adjustment disclosed to you); (b) continued processing of the Instant Report with a revised ETA; or (c) where Credence is unable to deliver within a reasonable time, issuance of a credit or refund for the affected order, except to the extent performance has begun and costs have been incurred, and subject always to mandatory law.

9.3.5 Where the same order is converted from Instant to Fresh due to data unavailability or manual verification, it shall be treated as a continuation of the original order (not a repurchase), unless you expressly place a new order.

9.3.6 Mandatory consumer rights. Nothing in this Section 9.3 limits any mandatory rights that cannot be excluded under applicable consumer protection laws.

9.3.7 For certain jurisdictions, Credence may not offer Instant Reports due to source limitations, legal/technical constraints, or coverage considerations. In such cases, the portal will offer alternative Report Types (such as Core Data Pack, Standard Report, Comprehensive Report and/or Fresh Report) and the applicable deliverables and pricing will be determined by the selected Report Type.

10. Licence; intellectual property; permitted sharing

10.1 Subject to your compliance and payment, we grant you a limited, non-exclusive, non-transferable, revocable licence to access the portal and use purchased reports for your Permitted Purposes.

10.2 You shall not reproduce, redistribute, publish or resell reports, except to the extent strictly necessary for internal review by your employees and professional advisers, provided such recipients are bound by confidentiality obligations at least as protective as these Terms.

10.3 All intellectual property rights in the Services, portal content, templates, scoring methodologies, and reports are owned by Credence and/or its licensors.

10.4 You shall not publish, post, circulate, or otherwise make available to any third party any Score or excerpt that could reasonably identify a subject company’s Score, except to the extent strictly necessary for internal review by your employees and professional advisers under confidentiality obligations.

10.5 All right, title and interest in and to the Services, the portal, profile pages, report formats, scoring methodologies, and all content made available through the Services (including compilations, selections and arrangements of data) are owned by Credence and/or its licensors and are protected by copyright, database rights, trade secret and other intellectual property laws. To the extent the contents constitute a protected database, Credence reserves all rights in relation to extraction and re-utilisation of all or a substantial part of the contents. All rights not expressly granted are reserved

10.6 Except as expressly permitted in these Terms, you shall not (and shall not permit any third party to) sell, resell, license, sublicense, distribute, publish, disclose, display, transmit, or otherwise make available any profile page content, report content, Scores, or outputs of the Services to any third party. Use is limited to your internal purposes for Permitted Purposes (and, where applicable, review by your employees and professional advisers under confidentiality obligations).

10.7 Except as expressly permitted, you shall not store, cache, archive, or maintain any report/profile content outside the portal for longer than reasonably necessary for your internal review and audit purposes. Any permitted storage must preserve all proprietary notices and must not be used to create an alternative dataset or to avoid purchasing updated information.

10.8 Data Protection : The portal uses cookies and similar technologies to operate and secure the Services and to improve performance. Where required by applicable law, non-essential cookies will be used only with your consent. Further details are set out in our Privacy Policy, which are incorporated by reference.

11. Refunds; cancellations; consumer rights

11.1 Except as required by mandatory law, all sales are final and fees are non-refundable once performance has begun, subject to Sections 11.2–11.7

11.2 Instant Reports are digital content supplied immediately/without undue delay and involve instant third-party data costs. Where required by mandatory consumer law, you will be asked at checkout to (i) consent to immediate supply and (ii) acknowledge that your right to cancel is lost once supply begins.

11.3 Fresh Reports generally involve immediate allocation of analyst time and third-party data costs. By placing an order for a Fresh Report, you request that we begin performance promptly after payment. If you request cancellation after we have begun performance, we may, to the extent permitted by mandatory law, charge a proportionate amount for work performed and costs incurred up to cancellation.

11.4 If we fail to deliver a purchased report due to reasons attributable to us, your remedy shall be, at our option, re-delivery, credit, or refund.

11.5 If you notify us promptly of a material defect and we cannot remedy within a reasonable time, we may provide a remedy in accordance with law and our policies.

11.6 For Business Customers, refunds are granted only where we confirm non-delivery due to our fault or a material defect that we cannot remedy.

11.7 Nothing in these Terms limits mandatory consumer protection rights that cannot be excluded.

12. Disclaimers

12.1 To the maximum extent permitted by law, the Services are provided “as is” and “as available”. We disclaim all warranties not expressly stated, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12.2 Scores, recommendations and trade terms guidance (if any) are indicative only and do not constitute legal, financial, or investment advice.

12.3. Scores, limits and recommendations:

12.3.1 Any score, grade, risk indicator, credit limit guidance, recommended trade terms, or similar output (“Scores”) is generated using Credence’s proprietary methodologies and models based on information available at the relevant time. Scores are indicative only, are subject to change, and represent Credence’s assessment for the limited purposes described in these Terms.

12.3.2 Credence is not a credit rating agency and does not issue regulated “credit ratings”. Scores do not constitute financial advice and must not be represented as such.

12.3.3 You agree that Scores and related content must not be relied upon as the sole basis for any decision and must be considered together with independent verification and other information.

12.3.4 Credence does not guarantee the accuracy, completeness, or predictive performance of any Score and does not warrant that any Score will be accepted by third parties or remain unchanged over time.

13. Limitation of liability

13.1 To the maximum extent permitted by law, Credence shall not be liable for indirect, incidental, consequential, special or punitive damages, or for loss of profits, revenue, business, goodwill, or data.

13.2 Our total aggregate liability arising out of or relating to the Services shall not exceed the amount paid by you for the specific order giving rise to the claim.

13.3 Nothing in these Terms excludes or limits liability that cannot be excluded by law (including fraud or fraudulent misrepresentation, or death/personal injury caused by negligence).

14. Indemnity (Business Customers)

14.1 Business Customers shall indemnify and hold Credence harmless from claims, losses and expenses arising from the Business Customer’s misuse of the Services, unlawful processing of personal data, redistribution, or breach of these Terms.

14.2 The Business Customer shall indemnify and hold harmless Credence from and against third-party claims and reasonable legal fees arising out of the Business Customer’s breach of these Terms, including publication/redistribution of reports or Scores, marketing/list-building use, or alteration/misrepresentation of report content, except to the extent caused by Credence’s fraud or wilful misconduct or prohibited by mandatory law.

14.3 The Business Customer shall indemnify and hold harmless Credence from third-party claims and reasonable legal fees arising out of (a) unauthorised publication/redistribution of content, (b) scraping/extraction, or (c) creation of competing databases/profile pages using Service outputs, except to the extent caused by Credence’s fraud or wilful misconduct or prohibited by mandatory law.

15. Suspension; termination

15.1 We may suspend or terminate access immediately if we reasonably believe you have breached these Terms, engaged in abuse, or created security risks.

15.2 Upon termination, the licence in Section 10 ends and you must cease use of the portal; however, you may retain reports already lawfully obtained solely for internal recordkeeping, subject to confidentiality and non-redistribution and within the validity period of the report.

15.3 Any breach of Sections 5.1 to 5.4 constitutes a material breach. Credence may suspend or terminate access immediately, and you acknowledge that unauthorised extraction or re-utilisation may cause irreparable harm for which damages may be inadequate; accordingly, Credence is entitled to seek injunctive or equitable relief in addition to any other remedies.

16. Changes to the Services or Terms

16.1 We may update these Terms from time to time. Material changes will be posted on the portal and/or notified via email. Continued use after changes take effect constitutes acceptance.

17. Governing law; jurisdiction

17.1 These Terms are governed by the laws of Hong Kong and the courts of Hong Kong shall have exclusive jurisdiction unless otherwise mandated by law.
